A rights issue or capital call is a way companies raise funds from shareholders.
Companies use it to raise funds to bolster their capital, finance new acquisitions or takeover bids.
Shareholders are offered a certain number of new shares for each share they already own. The new share price is usually lower than the current share price. By purchasing rights to subscribe to new shares, investors keep their previous percentage of the company.
However, participation is not mandatory. Instead, the shareholder can sell the right to subscribe for new shares. This right has intrinsic value as long as the issue is made at a discount from the current market price.
But even those who don't participate will see their share of the business watered down.
